Step 1- Understand the role of Corporate Governance: What is it and why it is important?

Step 2 - How the Board works - Role, responsibilities, oversight, committees, holding the executive to account and the line in the sand between the role of the Board and that of the Executive.

Step 3 - Know your legal responsibilities and potential liabilities - Directors duties under the 2014 Act, financial, risk, benefits of Board rotation, solvency, and implications of reckless trading.

Step 4 - Ensure you have absolute clarity on how you can contribute to a fully functioning board - Directors values and ethos, governance, strategy, policies, setting future direction, and holding the executive to account.

Step 5 - What makes for an effective Board and effective Board meetings - Annual Workplan, agenda setting, information requirements, and rotation.

About David
About David

David is Ireland's leading author on corporate governance and is a regular advisor to organisations both nationally and internationally. His latest book "A Practical Guide for Company Directors" was published by Chartered Accountants Ireland.

He is a graduate in Business from Trinity College Dublin and holds an MBA from IMD in Lausanne, Switzerland. He is also a Chartered Accountant.



David was a Board Member of the Dublin Chamber of Commerce and The Ireland Funds and a number of other commercial, sporting and voluntary bodies.

David is the Founder & CEO of The Governance Company which provides online and offline training and development support for directors, non-executive director support (NED) support and consulting services. The Governance Company recently launched NED Talks which aims to make corporate governance, engaging, stimulating and fun.
